1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the AGASTRONICX Ltd (“AGASTRONICX”, “Company”, “we”, “us”) platform, services, and training programs. AGASTRONICX Ltd is registered in Nigeria with Registration Number 9022634.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

2. Eligibility

You must be at least 16 years of age to use our services. By using the platform, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. AGASTRONICX will not be liable for any losses arising from unauthorized use of your account.

4. Training Programs

Enrollment in AGASTRONICX training programs is subject to the following:

• All applications are subject to review and approval by AGASTRONICX
• Program fees must be paid in full before program commencement
• AGASTRONICX reserves the right to modify program content, schedules, and delivery methods
• Certificates of completion are issued upon satisfactory completion of program requirements

5. Payments and Refunds

All payments are processed securely through Flutterwave. By making a payment, you agree to Flutterwave's terms of service. Program fees are non-refundable once a program has commenced, except where required by applicable law or at the sole discretion of AGASTRONICX.

Refund requests must be submitted in writing to billing@agastronicx.com within 7 days of payment and before program commencement.

6. Intellectual Property

All content, materials, curricula, and software provided by AGASTRONICX are the intellectual property of AGASTRONICX Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use materials solely for your personal, educational use.

You may not reproduce, distribute, modify, create derivative works from, or exploit any AGASTRONICX content without prior written consent.

7. Referral Programme

AGASTRONICX operates a referral programme. Referral rewards, if any, are at the discretion of AGASTRONICX and may be modified or discontinued at any time. Rewards cannot be exchanged for cash unless explicitly stated. Abuse of the referral system including fraudulent referrals will result in account suspension.

8. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of our system
• Transmit harmful, offensive, or disruptive content
• Interfere with the security or availability of the platform
• Impersonate any person or entity
• Use automated tools to scrape or interact with the platform

9. Limitation of Liability

To the maximum extent permitted by law, AGASTRONICX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to AGASTRONICX in the twelve months preceding the claim.

10. Termination

AGASTRONICX reserves the right to suspend or terminate your account at any time for breach of these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.

13. Survey & Idea Prize

These terms apply to submissions made through our public survey and idea form.

• Eligibility. Open to anyone aged 18 or over. One submission per person; duplicate or automated entries may be removed without notice.
• Prize. Selected ideas may receive a cash award of up to USD $100, paid in Nigerian Naira at the prevailing rate. The number of awards, if any, is at our discretion, and we are under no obligation to make an award.
• Judging. Entries are assessed on clarity, originality and potential impact, at the sole discretion of AGASTRONICX Ltd. Our decision is final and we do not enter into correspondence about it.
• Winners. Winners are contacted using the email address given in the submission. If we cannot reach a winner within 30 days, the award may be withdrawn.
• Ownership. You keep all rights in the idea you submit. Submitting it does not transfer ownership or intellectual property to us, and does not create a partnership or employment relationship.
• Independent development. We may already be working on, or may later independently develop, ideas that resemble a submission. Nothing here restricts our ability to do so, and no confidentiality obligation arises from a submission unless we agree one in writing.
• Your data. Submissions are handled as described in our Privacy Policy. You may request deletion at any time.
